Experience
- Representing clients of various sizes in merger and acquisition transactions, real estate transactions, secured transactions, and other corporate transactions
- Providing outside general counsel services to corporate clients, including, without limitation, legal counsel with respect to corporate governance matters, contract negotiations, governmental regulatory permitting and compliance matters, loan compliance matters, contract disputes and other potential litigation issues, and other legal matters
- Drafting, analyzing and advising clients regarding commercial transactional documents and agreements, including indemnification agreements, purchase agreements, confidentiality agreements, services agreements, employment contracts, and distribution agreements
- Assisting with due diligence investigations in mergers, acquisitions, and other transactions
- Representing businesses and individuals in commercial transactions involving the creation, dissolution, acquisition, and merger of business entities
- Performing environmental due diligence in connection with commercial transactions. Reviewing proposed project materials and guiding clients regarding potential federal and state environmental requirements and how to navigate and fulfill those requirements.
- Assisting with state and federal environmental regulatory issues, including rulemaking. Staying up-to-date on regulatory changes occurring amongst the states and on the federal level to propose and draft improvements to environmental rules and regulations.
- Director of Spilman’s Corporate Transparency Act Compliance Program and firm-wide contact person for CTA compliance questions and reporting
