Ms. Marco is chair of our corporate law department. Her primary areas of practice are corporate law, health care law, and mergers and acquisitions.

Experience
Health Care Law
- Advising health care clients regarding contractual matters, health care laws and regulations, corporate governance, and mergers and acquisitions
- Counseling clients on structuring transactions and relationships to comply with the Stark Law, the Anti-Kickback Statute, and the False Claims Act
- Drafting and negotiating physician employment agreements
- Preparing HIPAA and Part 2 compliant policies, notices and consents to disclosure
- Served as counsel in litigation obtaining a preliminary injunction against the Secretary of the United States Department of Health and Human Services to provide adequate due process for a physician prior to revoking Medicare billing privileges
Virtual General Counsel
- Drafting, analyzing and advising clients regarding commercial contracts
- Assisting clients with preparation and implementation of general terms and conditions, including guidance on battle of the forms
- Serving as an extension of the client’s sales and procurement teams, assisting with contract negotiations and providing quick turnarounds on contract edits that won’t kill the deal
- Assisting clients with commercial dispute resolution
- Working seamlessly as an extension of the client’s in-house general counsel office, including management of outside counsel
Mergers and Acquisitions
- Representing businesses and individuals in commercial transactions involving the creation, dissolution, acquisition and merger of business entities
- Assisting with due diligence investigations in mergers, acquisitions and other transactions
Corporate Law
- Preparing corporate governance documents, minutes, consents and resolutions for corporate or company action
- Advising clients on entity selection matters
