Mr. Gadd advises and represents nonprofit and tax-exempt organizations on a wide variety of matters. He also works in the areas of creditors’ rights and foreclosures, trusts and estates, taxation and general corporate law.

  • Creditors’ Rights and Foreclosures

    • Coordinating, supervising, and conducting foreclosure sales of commercial and industrial properties throughout West Virginia on behalf of local, regional and national financial institutions and government agencies, including commercial office buildings, apartment complexes, gasoline stations and convenience stores, saw mills, manufacturing facilities, and warehouses
    • Coordinating, supervising and conducting residential foreclosures
    • Participating in the prosecution of judicial foreclosures in non-power-of-sale jurisdictions
    • Guiding clients with prosecution and defense of mechanics' lien actions
    • Representing secured and unsecured creditors in chapter 7, chapter 11 and chapter 13 bankruptcy cases
  • Taxation

    • Representing and advising clients in the creation of various nonprofit tax exempt organizations, including public charities, supporting organizations and private foundations
    • Advising boards of tax-exempt organizations on fiduciary compliance, best practices and matters that could impact tax-exempt status
    • Representing clients in offers in compromise before the Internal Revenue Service

    • Counseling and advising parties and drafting documents in commercial transactions such as asset purchase and sale transactions, stock sale transactions and commercial lease agreements
