Mr. Hunter’s practice focuses on banking and financial services law, including securities law, finance transactions, creditors’ rights and debt restructuring. He also assists clients in real estate, tax credit financing and franchising matters.

  • Representing and counseling financial institutions on banking regulatory compliance and securities matters, including Sarbanes-Oxley and Dodd-Frank
  • Assisting with formations and mergers/acquisitions of national and state-chartered banks
  • Extensive experience representing financial institutions, public and private companies, and individuals in a wide variety of corporate matters, including corporate governance, transactions, mergers and acquisitions, creditors’ rights and debt collection, tax matters, and regulatory requirements
  • As Senior Vice President, Secretary and Counsel to National Bankshares, Inc.:
    • Performed general counsel functions for the bank holding company and its subsidiaries, including corporate governance, regulatory, securities, bankruptcy, consumer finance, and employment matters
    • Prepared contracts, loan documents, pleadings, and regulatory applications and filings
    • Advised and regularly updated corporate entities, boards of directors, officers, and employees of legal, regulatory and legislative matters
    • Supervised Trust Department and its investment and fiduciary functions and compliance
    • Supervised Compliance Department and its oversight of banking functions and regulatory requirements
    • Assisted broker/dealer and insurance agencies affiliated with investment and insurance subsidiary with compliance matters and business development
  • Representing clients involved in tax credit projects, including developers, non-profit organizations, lenders, investors and municipalities
  • Comprehensive franchise services including creation and formation of franchise entities; preparation of federal and state disclosures and franchise agreements; and monitoring compliance with federal and state rules and regulations
