Education

Representing lenders and borrowers in asset-based lending, revolving loan and term loan credit facilities
Serving as lender's counsel on real estate acquisition, development and construction loans for residential, commercial and industrial facilities
Counseling in working capital financings and restructuring of troubled loans secured by real and personal property
Representing buyers, sellers, lessors and lessees of commercial and industrial real estate
Negotiating, preparing and reviewing transactional and financing documents and performing due diligence in stock and asset acquisitions and dispositions
Serving as bond counsel to Virginia localities and authorities on tax-exempt and taxable bond issues
Serving as issuer and bond counsel on industrial development revenue bond financings
Serving as general counsel to industrial development authorities and water and sewer authorities
Preparing ordinances, resolutions, organization documents and service agreements in connection with the formation of regional water authorities
Negotiating and preparing incentive and performance agreements between localities and industrial or commercial prospects
Drafting corporate bylaws, minutes and resolutions, and advising corporate entities regarding governance matters
