Representative Experience
Banking and Finance
- Advised a regional financial institution in connection with the Fair and Accurate Credit Transactions Act of 2003, including the preparation and implementation of its “Red Flag Rule” and Risk Based Pricing notices
- Advised a regional financial institution in connection with the Gramm-Leach-Billey Act, including preparation of the affiliate sharing and marketing policies
- Advised a multi-state financial institution regarding state and federal anti-rebate laws and regulations
- Developed and reviewed policies for a bank’s credit officers and lenders to help ascertain and correct deficiencies in loan documentation and perfection of security interests
- Reviewed and advised an out of state bank as to ensure its documents comply with North Carolina law and requirements
- Extensive experience representing banks and other institutions in the sale and acquisition of certain notes and other assets
- Represented a banking client in the negotiation and preparation of management agreements for certain bank operating assets
- Extensive experience representing several banks in their lending to varying commercial businesses, including multi-million dollar loans to hotels, shopping centers, and residential sub-divisions
- Extensive experience representing numerous banks in the modification of Notes and Obligations
Bankruptcy and Creditors' Rights
- Extensive experience representing several super-regional and community banks in the negotiation or work-out of non-performing loans and other troubled assets -- through forbearance agreements, note sales, and other note modifications -- including subdivisions, churches, shopping centers, office condominiums and storage facilities
- Extensive experience representing several super-regional and community banks in their enforcement of security interests in real estate (foreclosure) and personal property security interests, including storage facilities, warehouses, residential subdivisions, shopping centers mobile home parks, office condominium and convenience stores
- Extensive experience counseling financial clients as to potential lender liability issues and methods to mitigate or avoid the same
- Supervise numerous legal actions for banking clients to collect deficiencies
- Represent a secured creditor in a Chapter 11 bankruptcy as to a several million dollar obligation
Corporate/Mergers and Acquisitions
- Represented the U.S. subsidiary of an publicly traded international corporation in its purchase of the assets of an automotive parts manufacturing business
- Represented a domestic corporation in the sale of its European subsidiary to a German corporation via a stock transaction
- Represented the sole owner of a multi-office medical practice in the sale of shares and his ongoing employment
- Extensive experience regarding numerous entrepreneurs as to their start-ups, including proper formation, governance, and effective shareholder or operating agreements
- Extensive experience advising officers and Boards of Directors as to a wide array of legal issues
