Condaras, Amy King
Ms. King Condaras' primary areas of practice are
public finance,
commercial lending, private equity and general
corporate
matters. Ms. King Condaras is the co-chair of the Banking and Finance Practice Group.
Representative Experience
- Serving as bond counsel, underwriter's counsel and corporate counsel in tax-exempt healthcare financings
- Drafting trust indentures, bond indentures, loan agreements, lease agreements and related documents in tax-exempt financings
- Representing agents and lenders in secured and unsecured, syndicated and single-bank financings, including acquisition and leveraged financings
- Representing secured lenders in troubled loan workouts and restructurings
- Preparing and negotiating commercial loan documentation and performing due diligence investigations in connection with financial transactions
- Representing investors in equity investments and venture capital transactions and preparing and negotiating investment agreements and other documents in connection with such transactions
- Representing businesses in various business transactions including formation, acquisitions and dissolutions
- Advising clients, drafting and negotiating transactional documents, and performing due diligence investigations in mergers, stock and asset acquisitions and dispositions in health care and other industries
- Drafting corporate bylaws, minutes and resolutions, and otherwise advising clients regarding governance issues in corporations and other entities
- Advising clients regarding post-issuance tax compliance matters for nonprofit healthcare institutions and other 501(c)(3) organizations
