Representative Experience
- Recently served as in-house regional counsel for multi-state financial institution, responsible for providing legal advice and guidance on day-to-day bank operations matters, commercial lending matters, litigation matters, and governmental and legislative matters
- Represent lenders and borrowers in commercial loan transactions, including drafting and negotiating commercial loan documentation
- Work reviewing and documenting swaps and hedging transactions using ISDA documentation and tailoring same to substantive deal terms
- Work reviewing and documenting amendments to swaps/hedging transactions
- Serve as bond counsel and underwriter's counsel in tax-exempt financings, including drafting trust indentures, bond indentures and supplements thereto, and related documents in tax-exempt financings
- Represent entities in general business transactions
- Represent entities in troubled loan workouts, primarily by reviewing loan documents for deficiencies that may be exploited by bankruptcy trustees, and by preparation of loan modification and/or forbearance agreements
